Terms of Service & Compliance

1. Scope and Provider

These Terms of Service (ToS) govern the legal relationship between Laracom OG (Austria) and its business partners.

2. Marketplace Risk Shield

The operator provides only the technical infrastructure. We are not liable for the performance, quality, or payment of services agreed between users.

3. B2B Exclusive & Audit Risk

Only entrepreneurs as defined by the Austrian UGB are eligible. We reserve the right to audit VAT IDs and business credentials at any time.

4. SaaS Model & API Compliance

Access to the platform is provided on a SaaS basis. Any unauthorized API access or automated data extraction (scraping) is strictly prohibited.

5. Social Login Compliance (7a)

Registration via third-party providers (Google, Meta) uses OAuth 2.0. Users are responsible for the security of their third-party accounts.

6. Subscription & Stripe Payments

Payments are processed via Stripe. Subscriptions renew automatically unless cancelled in the account settings.

7. Liability Gap

Liability for damages caused by third-party providers (hosting, payment gateways) is excluded to the maximum extent permitted by law.

8. Limitation of Liability (Haftungsdeckelung)

Our total liability is limited to the annual subscription fee actually paid by the user in the current calendar year.

9. User Generated Content (UGC)

Users guarantee they own the rights to all uploaded content and will indemnify the operator against any third-party claims.

10. Anonymization Policy

Upon account deletion, personal identifiers are hashed or deleted within 30 days, except for data required by tax law (7 years).

11. GDPR Fine Risk Management

Users act as independent data controllers for their client data. The operator is not liable for GDPR violations committed by users.

12. Force Majeure

Neither party is liable for failure to perform due to events beyond their reasonable control (war, strikes, outages).

13. Severability Clause

If any provision of these terms is found to be invalid, the remaining provisions shall remain in full force and effect.

14. Jurisdiction AT

Exclusive jurisdiction shall be the competent court at the operator’s registered office in Austria.

15. Availability (SLA)

The operator aims for 98% availability. Maintenance windows do not count as downtime.

16. Intellectual Property

All rights to the software, branding, and "GartSauber" trademarks remain exclusively with the operator.

17. Confidentiality

Parties agree to keep business secrets confidential even after the termination of the service agreement.

18. Reference Rights

The operator may use the user’s logo for marketing purposes unless the user objects in writing.

19. Anti-Scraping Policy

The use of bots or scripts to harvest data from the platform is strictly prohibited.

20. Tax Compliance (Reverse Charge)

EU business customers must provide a valid VAT ID. Reverse charge rules apply accordingly.

21. Termination

Termination takes effect at the end of the current billing cycle. No pro-rata refunds are provided.

22. Moderation Rights

The operator reserves the right to remove content or suspend accounts for violations of guidelines.

23. Amendments to Terms

Users will be notified 14 days prior to changes. Continued use of the platform implies acceptance of new terms.

24. Governing Law

This agreement is governed by the laws of the Republic of Austria, excluding its conflict of laws principles.
